1. Acceptance of Terms

By clicking "I Accept," or by downloading, installing, or otherwise accessing or using Zit Media ("the Service"), you agree that you have read and understood, and, as a condition to your use of the Service, you agree to be bound by, the following Terms of Service and our Privacy Policy (together, these "Terms").

If you are not eligible, or do not agree to the Terms, then you do not have our permission to use the Service. Your use of the Service, and our provision of the Service to you, constitutes an agreement by Zit Media and by you to be bound by these Terms.

2. Description of Service

Zit Media is a social media management platform that enables you to schedule and publish content to your social media accounts, with current support for Facebook, Instagram, Threads, LinkedIn, and TikTok business profiles and pages. The Service uses official platform APIs and operates in full compliance with third-party platform policies.

Zit Media reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We will have no liability for any change to the Service or any suspension or termination of your access to or use of the Service.

3. User Eligibility

To use the Service, you must meet all of the following requirements:

Be at least 18 years of age
Have a valid account on the social media platform(s) you wish to manage (e.g., Facebook, Instagram, Threads, LinkedIn, TikTok)
Have appropriate permissions to post to the accounts or pages you connect to Zit Media
Comply with all applicable third-party platform terms and policies
Provide accurate and complete registration information
Not be located in a country subject to U.S. or international sanctions
Not have been previously suspended or removed from the Service

By agreeing to these Terms, you represent and warrant that you meet all of these eligibility requirements.

4. Account Registration and Security

Registration

To access certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself, and to maintain and promptly update this information to keep it accurate, current, and complete.

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Use a strong, unique password for your Zit Media account
Not share your account credentials with anyone
Notify us immediately at security@zit.media if you believe your account has been compromised
Be responsible for all activities that occur under your account

Account Limitations

You may not use another user's account without permission. You may not transfer your account to another person or entity. Creating multiple accounts to evade restrictions or bans is prohibited.

5. Subscription and Payment Terms

Free and Paid Plans

Zit Media offers both free and paid subscription plans. Features, limits, and pricing vary by plan. Current pricing is available at zit.media.

Payment

For paid subscriptions, you authorize Zit Media to charge your payment method on a recurring basis for the subscription fee, plus any applicable taxes. All fees are non-refundable unless otherwise specified or required by law.

Subscription Renewal and Cancellation

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period.

Price Changes

We reserve the right to change our pricing. We will provide you with reasonable notice of any price changes, and you will have the opportunity to cancel your subscription before the new pricing takes effect.

6. Acceptable Use Policy

You agree to use the Service in compliance with all applicable laws and regulations. You agree NOT to use the Service to:

Violate any local, state, national, or international law or regulation
Infringe on any patent, trademark, trade secret, copyright, or other intellectual property rights
Post spam, unsolicited messages, or engage in deceptive practices
Harass, abuse, threaten, or harm others, or promote violence
Distribute viruses, malware, or other malicious code
Attempt to gain unauthorized access to the Service, other accounts, or computer systems
Scrape, crawl, or automatically collect data from third-party platforms
Violate any third-party platform policies (e.g., Meta's Platform Policies)
Impersonate any person or entity, or falsely state or misrepresent your affiliation
Sell, transfer, or sublicense your account
Use the Service for any illegal or unauthorized purpose
Interfere with or disrupt the Service or servers or networks connected to the Service

Violation of this Acceptable Use Policy may result in suspension or termination of your account.

7. Content Ownership and License

Your Content Ownership

You retain all ownership rights to the content, data, and materials you create, upload, post, or transmit through the Service ("User Content"). We do not claim any ownership rights to your User Content.

License to Zit Media

By posting User Content to the Service, you grant Zit Media a worldwide, non-exclusive, royalty-free license to use, store, copy, transmit, and display your User Content solely for the purpose of:

Providing the Service to you (including publishing to your connected social media accounts)
Improving, maintaining, and debugging the Service
Complying with legal requirements

This license terminates when you delete your User Content or your account, except to the extent we are required to retain it by law or to provide the Service to other users.

Backup and Storage

You should retain copies of any User Content you post to the Service. We are not responsible for loss of User Content due to Service modifications, errors, or termination of your account.

8. User Content Responsibilities

Your Responsibility

You are solely responsible for your User Content and the consequences of posting it. By posting User Content, you represent and warrant that:

You own or have the necessary rights to post the User Content
Your User Content does not violate any third-party rights (including intellectual property, privacy, or publicity rights)
Your User Content complies with these Terms and all applicable laws
Your User Content does not contain viruses or malicious code

Prohibited Content

User Content must not contain:

Illegal content or content promoting illegal activities
Content that infringes intellectual property rights
Hate speech, discriminatory, or offensive content
Sexually explicit or pornographic content
Violent or graphic content
False, misleading, or deceptive content
Spam or unsolicited promotional material

Our Right to Remove Content

We do not pre-screen User Content. However, we reserve the right (but have no obligation) to remove, disable, or restrict access to any User Content that violates these Terms or applicable laws, or that we determine in our sole discretion is objectionable.

9. Third-Party Integrations

Social Media Platforms

Our Service integrates with third-party social media platforms (including Facebook, Instagram, Threads, LinkedIn, and TikTok, with potential support for additional platforms in the future). By connecting your social media accounts to Zit Media, you:

Authorize Zit Media to access and use your account information as described in our Privacy Policy
Agree to comply with all applicable third-party platform terms and policies
Understand that we have no control over third-party platforms and are not responsible for their actions

Platform-Specific Terms

When using Zit Media to manage accounts on supported platforms, you also agree to comply with their respective terms and policies, including:

Impact of Third-Party Changes

Changes to third-party platform APIs, policies, or availability may affect the Service. We are not responsible for any such changes or their impact on your use of Zit Media.

10. Intellectual Property Rights

Our Intellectual Property

The Service, including its visual interfaces, graphics, design, compilation, information, software, code, products, and all other elements (collectively, "Zit Media Materials"), are owned by Zit Media and protected by copyright, trademark, and other intellectual property laws.

All Zit Media trademarks, service marks, logos, trade names, and other proprietary designations are the property of Zit Media. You may not use our trademarks without our prior written permission.

Limited License

Subject to your compliance with these Terms, Zit Media grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal or internal business purposes.

Restrictions

You may not:

Copy, modify, or create derivative works of the Service or Zit Media Materials
Reverse engineer, decompile, or disassemble the Service
Remove or modify any copyright, trademark, or other proprietary notices
Use the Service to develop competing products or services
Access the Service through automated means (except as explicitly permitted)

11. Service Availability and Modifications

Service Availability

We strive to provide reliable service with high uptime. However, the Service may be temporarily unavailable due to:

Scheduled or emergency maintenance
Technical issues or system upgrades
Third-party platform API changes, rate limits, or outages
Internet or network connectivity issues
Force majeure events (natural disasters, acts of government, etc.)

Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service.

No Liability for Interruptions

We are not responsible for failed posts, scheduling errors, data loss, or other issues caused by Service interruptions, third-party platform changes, or factors outside our reasonable control.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ZIT MEDIA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties regarding the accuracy, reliability, completeness, or timeliness of the Service or content
Warranties that the Service will be uninterrupted, secure, or error-free
Warranties that defects will be corrected
Warranties regarding results obtained from using the Service

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZIT MEDIA BE LIABLE FOR ANY:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, use, goodwill, or other intangible losses
Damages resulting from your access to or use of (or inability to access or use) the Service
Damages resulting from unauthorized access to or use of our servers and/or any personal information stored therein
Damages resulting from any interruption or cessation of the Service
Damages resulting from third-party platform changes, outages, or policy violations
Damages resulting from any User Content or conduct of any third party on the Service

ZIT MEDIA'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO ZIT MEDIA IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Zit Media, its affiliates, officers, directors, employees, agents, and licensors (collectively, "Zit Media Parties") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

Your use of the Service
Your violation of these Terms
Your violation of any rights of any third party, including intellectual property, privacy, or publicity rights
Your User Content
Your violation of any applicable laws or regulations

This indemnification obligation will survive termination of these Terms and your use of the Service.

15. Termination

Termination by You

You may terminate your account at any time by:

Using the account deletion feature in your account settings
Disconnecting all social media accounts from the Service
Contacting us at support@zit.media

Termination by Zit Media

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if:

You violate these Terms or any applicable laws
Your use poses security, legal, or reputational risks to Zit Media or others
We are required to do so by law or third-party platform policies
Your connected social media account(s) are suspended or terminated
We decide to discontinue the Service

Effect of Termination

Upon termination:

Your right to access and use the Service will immediately cease
You will lose access to your User Content stored on the Service (ensure you have backups)
Any outstanding fees owed will become immediately due
Sections of these Terms that by their nature should survive termination will survive (including Sections 7, 8, 10, 12, 13, 14, and 18)

16. Data Deletion

Upon account termination or at your request, we will delete your personal data in accordance with our Privacy Policy and applicable data protection laws. Generally, we will delete or anonymize your data within 30 days, except where retention is required by law or necessary to resolve disputes.

Please note that deleting your account from Zit Media does not delete content you have already published to social media platforms. You will need to manage that content directly on those platforms.

17. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent and warrant that you are not (a) located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, or (b) listed on any U.S. Government list of prohibited or restricted parties.

18. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved in the courts of Ghaziabad, Uttar Pradesh, India. You consent to the personal jurisdiction of such courts and waive any objection to venue.

Informal Resolution

Before filing any claim, you agree to try to resolve the dispute informally by contacting us at legal@zit.media. We'll try to resolve the dispute informally by contacting you. If we can't resolve a dispute within 30 days, either party may pursue formal legal action.

19. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

Posting the updated Terms on this page with a new "Last updated" date
Sending you an email notification (if you have provided an email address)
Displaying a prominent notice in the Service

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

We encourage you to review these Terms periodically for any changes.

20. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zit Media regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms at any time without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their permitted successors and assigns.

No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any person other than you and Zit Media.
